| Description | La Ley 20.345/2009 permite a los participantes en un sistema de compensación y liquidación de instrumentos financieros cumplir con la obligación de constituir cauciones por medio de garantías con cambio de titularidad sobre instrumentos financieros, figura desconocida en nuestro Código Civil y que se propone caracterizar como una titularidad fiduciaria. Adicionalmente, la referida garantía es irrevocable, forma un patrimonio de afectación y puede ser ejecutada extrajudicialmente. Todas estas características y la propia existencia de la garantía con cambio de titularidad tienen como finalidad última mitigar el riesgo sistémico connatural a los sistemas de compensación y liquidación de instrumentos financieros. | es-ES |
| Description | Law 20345/2009 entitles participants of a Securities Settlement System to fulfill their obligations to provide collateral through a title transfer collateral arrangement over financial instruments, unknown under the Chilean Civil Code. It is proposed here to characterize this figure as a fiduciary ownership. In addition, this collateral is irreversible, it gives rise to an autonomous patrimony dedicated to a special purpose and can be executed extrajudicially. All of these features and the very existence of this title transfer collateral arrangement have the purpose of mitigating the systemic risk that is inherent to Securities Settlement Systems. | en-US |
